1. Introduction

These Terms of Service (the "Terms") form a binding contract between you and Zynth LLC, a Wyoming limited liability company doing business as kiriclip ("kiriclip", "we", "us", or "our"). The Terms govern your access to and use of the kiriclip website at https://kiriclip.com, the kiriclip API, and any other software or service we make available (collectively, the "Services").

By creating an account, accessing the Services, or clicking "I agree," you accept these Terms. If you do not agree, do not use the Services.

These Terms incorporate by reference our Privacy Policy and our DMCA Policy.

2. Who May Use the Services

You must be at least 16 years old to use the Services. If you are between 16 and the age of legal majority in your jurisdiction, you must have your parent or legal guardian's permission, and that adult agrees to be bound by these Terms on your behalf.

You must register for an account with a valid email address and a password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@kiriclip.com if you suspect unauthorized access.

4. The Services

kiriclip is an AI-assisted video clipping tool that lets users upload long-form video and produce short-form vertical clips suitable for platforms such as TikTok, YouTube Shorts, Instagram Reels, and X. The Services may include features such as scene-type classification, subtitle-zone protection, copyright-risk scoring, transcription, and caption burn-in.

We may add, modify, suspend, or remove features at any time. We may run experimental features which may behave unpredictably; you use them at your own risk.

5. Source-Video Eligibility

The Services are designed to operate on user-owned or user-licensed video content. By uploading any video to the Services, you represent and warrant that at least one of the following is true:

a. You own the copyright to the video. b. You have a license, permission, or authorization from every copyright holder of every element of the video (including underlying anime or animation studios, music rights holders, voice talent, and any other rights holders) sufficient to upload, process, and publish derivative clips. c. Your use of the video falls under a clear fair-use, fair-dealing, or analogous statutory exception in your jurisdiction.

6. Rights You Grant kiriclip

When you upload video or other content (your "User Content") to the Services, you grant Zynth LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, transcode, segment, classify, transcribe, frame, encode, transmit, and otherwise process your User Content solely for the purpose of operating, providing, securing, and improving the Services for you.

You retain all ownership rights in your User Content. The clips and other outputs the Services generate from your User Content are derivative works of your User Content, and you own them subject to any rights of underlying third-party rights holders.

Face detection performed during processing is transient: no biometric identifiers are retained, no cross-frame identification is performed, and all face data is dropped when the processing job ends.

7. Acceptable Use — Prohibited Conduct

You will not, and will not permit anyone else to:

a. Upload, generate, or distribute content that infringes any copyright, trademark, trade secret, right of publicity, right of privacy, or other proprietary right of any person or entity. b. Use the Services to create deepfakes, non-consensual intimate imagery, or content depicting an identifiable person's name, image, voice, or likeness without that person's authorization. c. Use the Services to harass, threaten, defame, or impersonate any person or entity. d. Use the Services to generate or distribute content depicting minors in any sexualized or compromising context. e. Use the Services in a manner that violates any applicable law (including export-control, anti-bribery, sanctions, and child-protection laws). f. Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code, models, weights, or training data behind the Services, except to the extent that activity is permitted by mandatory applicable law and cannot lawfully be waived. g. Use the Services or their outputs to train, fine-tune, or evaluate any competing machine-learning model or competing video-clipping product. h. Scrape, crawl, or extract data from the Services or use any automated means (other than our published API used in compliance with these Terms) to access the Services. i. Resell, sublicense, white-label, or redistribute the Services without our prior written agreement. j. Probe, scan, or test the vulnerability of the Services without our prior written authorization, or interfere with or disrupt the Services or servers connected to the Services. k. Forge headers, manipulate identifiers, or otherwise misrepresent the origin of any content transmitted through the Services. l. Use the Services to send spam, phishing, malware, or any other unsolicited or harmful communication. m. Attempt to circumvent any rate limit, content filter, or technical measure we put in place.

We may suspend or terminate accounts that violate this Section 7. We may also report suspected illegal activity to law enforcement.

8. Fees, Plans, and Refunds

Pricing. Current plans are described at https://kiriclip.com/pricing. We may change pricing at any time, with notice taking effect at your next renewal.

Billing. Paid plans are billed in advance through our payment processor, Stripe. By providing payment information, you authorize Zynth LLC and Stripe to charge your designated payment method for the recurring fees of your plan.

Renewal. Subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before renewal. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

No refunds. Except where required by mandatory applicable law, fees already paid are non-refundable. Cancelling a subscription does not entitle you to a refund of fees paid for the current period; you retain access through the end of that period.

Credits. Credit packs are sold for one-time use within the Services. Unused credits expire 12 months after purchase. Credits have no cash value, are non-transferable, and are not refundable.

Taxes. Listed prices may be exclusive of applicable taxes; you are responsible for any taxes, duties, or government fees applicable to your purchase.

9. Data Retention

Source videos (all plans): Source video files you upload are retained for 7 days after upload, then permanently deleted from our systems regardless of plan.

Generated clips vary by plan:

Post-cancellation grace period. When a Creator or Pro subscription ends (whether by cancellation, non-renewal, or termination), your clips are retained for an additional 30 days. After that grace period, all clips associated with the account are permanently deleted.

Account data (email, billing history, transaction records) is retained while your account is active and for up to 7 years after closure to comply with tax, accounting, and audit obligations.

Deletion is permanent and is not recoverable. See the Privacy Policy for additional retention details.

10. Account Suspension and Termination

By you. You may close your account at any time from account settings. Closing your account permanently deletes your User Content (subject to Section 9 record-keeping retention).

By kiriclip. We may suspend or terminate your account, with or without notice, if we reasonably believe:

If we terminate your account for cause under this Section, we are not obligated to refund any fees already paid.

11. Intellectual Property of kiriclip

kiriclip, the kiriclip logo, the Zynth name, and all software, content, and designs that comprise the Services (excluding User Content) are owned by Zynth LLC or its licensors and are protected by copyright, trademark, and other laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms.

12. Third-Party Services

The Services rely on third-party providers identified in our Privacy Policy, including cloud-infrastructure and payment-processing partners. We are not responsible for outages, errors, or data loss attributable to any third-party provider, except to the extent caused by our own gross negligence or willful misconduct.

If you connect external accounts (for example, a future TikTok or YouTube integration), the third-party platform's terms govern your use of that platform.

13. DMCA / Notice-and-Takedown

We respect the intellectual-property rights of others and respond to clear notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act ("DMCA"). See our DMCA Policy for the procedure and the contact information of our designated agent.

Repeat infringers will have their accounts terminated.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZYNTH LLC DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF OUTPUT, AND NON-INTERRUPTION OF SERVICE.

The copyright-risk score, scene-type label, transcript, captions, and any other AI-generated output are produced by automated systems, may contain errors, and are not a substitute for human judgment or professional legal advice.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

a. Excluded damages. ZYNTH LLC, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b. Aggregate cap. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) ONE HUNDRED U.S. DOLLARS ($100.00) OR (ii) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limits apply regardless of the legal theory (contract, tort, statute, or otherwise) and regardless of whether a limited remedy fails of its essential purpose. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

16. Indemnity

You agree to indemnify, defend, and hold harmless Zynth LLC, its affiliates, and their respective officers, directors, employees, and agents from any third-party claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the Services in violation of these Terms; (c) your violation of any law or third-party right; or (d) any dispute between you and a third party related to your use of the Services.

17. Governing Law and Dispute Resolution

Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution. Before filing any claim, you agree to first attempt to resolve the dispute informally by contacting legal@kiriclip.com and providing a written description of the dispute. We will attempt to resolve the dispute informally within 60 days of receipt.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved through informal resolution will be resolved exclusively by binding individual arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures (or, for claims under USD 250,000, its Streamlined Arbitration Rules and Procedures). The arbitration will be conducted in English. The seat of arbitration will be Cheyenne, Wyoming, USA, but you may elect to participate by telephone or videoconference. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Zynth LLC each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding.

Carve-outs. Either party may (a) bring an individual claim in small-claims court if the dispute qualifies, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property rights. The exclusive venue for any such court proceeding is the state and federal courts located in Laramie County, Wyoming, and each party consents to personal jurisdiction in those courts.

30-day right to opt out of arbitration. You may opt out of the arbitration agreement and class-action waiver in this Section 17 by sending written notice to legal@kiriclip.com within 30 days of first accepting these Terms. The notice must include your full legal name, the email address on your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

18. Changes to These Terms

We may update these Terms at any time. If we make material changes, we will notify you by email (to the address on file) or by a prominent notice in the Services at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance.

19. Miscellaneous

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Severability. If any provision is held unenforceable, the rest remains in effect.

No waiver. Our failure to enforce any right is not a waiver of that right.

Entire agreement. These Terms, together with the Privacy Policy and DMCA Policy, are the entire agreement between you and Zynth LLC regarding the Services and supersede any prior agreements.

Notices. We may give notice by email to the address on your account or by posting in the Services. You must give notice to us at:
